Welcome to MomentX AI ("the Service"). The Service is provided by MomentX Co., Ltd., a company registered in Taiwan ("the Company," "we," "us"). All fees and payments related to the Service are processed by MomentX AI Holding Limited, a corporation registered in Delaware, USA, on behalf of the Company.

Before using the Service, please read the following Terms of Use ("the Terms") carefully. By registering for an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by all the provisions of these Terms. If you do not agree with any part of these Terms, please cease using the Service immediately.

1. Service Description

The Service is a Software as a Service (SaaS) platform that utilizes artificial intelligence technology to help businesses and organizations build and implement innovative AI applications. The Service may include both free and paid subscription plans.

2. User Accounts

Registration Obligation: You must register for an account to use the Services. You agree to provide true, current, and complete information about yourself during registration and to maintain its validity at all times.
Account Security: You may not make your account available to anyone else. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You shall notify the Company immediately of any unauthorized use of your account. The Company will not be liable for any loss arising from your failure to properly secure your account password.
Age Restriction: You must be at least 18 years of age or the legal age of majority in your jurisdiction to register for and use the Service.

3. User Content and AI Output

User Content: You are solely responsible for all data, text, images, or other content that you upload, enter, or otherwise provide through the Service ("User Content"). You represent and warrant that you own or have obtained and shall maintain throughout the term all necessary rights, licenses, and consents to submit your User Content and that your User Content does not infringe upon the rights of any third party. You will not upload or submit any content of or owned by others unless you are lawfully permitted to do so. The Company does not claim ownership of your User Content, and you authorize us to use, disclose, retain and otherwise process User Content as contemplated by the Terms.
AI Output: The Service may generate text, voice, images, or other content based on your User Content ("AI Output"). Subject to your compliance with these Terms, the Company grants you a worldwide, non-exclusive, transferable right to use, reproduce, modify, and distribute the AI Output you obtain through the Service for any lawful purpose.
Content Disclaimer: You understand and agree that AI Output is generated by automated models and may contain inaccuracies, be offensive, or be unsuitable for certain purposes. The Company makes no warranties regarding the accuracy, completeness, originality, or reliability of the AI Output. You should evaluate the suitability of the AI Output before use and assume full responsibility for the consequences of its use.
Our use of User Content and AI Output: We may use the User Content and AI Output to provide, maintain, develop, and improve the Service, comply with applicable law, enforce our terms and policies, and keep the Service safe.

4. Fees and Payment

Subscription Plans: Certain features of the Service may require a paid subscription. All fees are quoted in U.S. Dollars (USD).
Payment Processing: All your payments will be handled by MomentX AI Holding Limited through its third-party payment service providers (e.g., Stripe, PayPal), which may be located in the United States. You agree to abide by the terms and policies of such third-party payment providers. Neither the Company nor MomentX AI Holding Limited will store your full credit card number or other sensitive payment information.
Automatic Renewal: To ensure uninterrupted service, your subscription plan will automatically renew at the end of each subscription period unless you cancel it through your account settings before the renewal date.
Refund Policy: The refund policy may vary depending on your subscription plan. Please refer to the specific refund regulations provided at the time of subscription. Subscription fees are non-refundable under any other circumstances.

5. User Conduct

You represent and warrant that you are solely responsible for ensuring that your use of the Services complies with applicable laws, including but not limited to the applicable data protection and privacy laws.

You agree not to use the Service for any illegal or prohibited activities under these Terms, including but not limited to:

Uploading any unlawful, discriminatory, harassing, defamatory, obscene, or infringing content.
Impersonating others or providing false information.
Reverse-engineering, decompiling, or attempting to crack the source code of the Service.
Using the Service to generate content for misleading, fraudulent, or malicious purposes.
Interfering with or disrupting the servers or networks of the Service.

6. Intellectual Property

The Service itself, including all its software, code, user interfaces, trademarks, logos, and designs, is the exclusive property of the Company, and all rights and intellectual property associated with it are owned by the Company. Except as expressly authorized by these Terms, you may not use any of the Company's intellectual property.

7. Termination

Termination by You: You may cancel your subscription and stop using the Service at any time through your account settings.
Termination by the Company: If the Company determines that you have violated these Terms, it reserves the right to suspend or terminate your account and access to the Service unilaterally and without prior notice.
Discontinuation of Services: The Company may decide to discontinue the Service, but if we do, we will give you advance notice and a refund for any prepaid, unused Service.

8. Disclaimers and Limitation of Liability

"AS IS" BASIS: The Service is provided on an "as is" and "as available" basis. The Company does not guarantee that the Service will be completely uninterrupted, timely, secure, or error-free.
Limitation of Liability: To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use and submission of User Content in violation of these Terms. To the maximum extent permitted by law, the Company and its affiliates, directors, and employees shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use or inability to use the Service. In any event, the Company's total liability to you shall not exceed the total amount you paid to the Company for the Service in the twelve (12) months preceding the claim.

9. Governing Law and Dispute Resolution

The interpretation and application of these Terms, and any disputes arising therefrom, shall be governed by the laws of the Republic of China (Taiwan). For any and all disputes, controversies, or claims arising from the Terms (the "Dispute"), the Parties shall seek to amicably settle or resolve such Dispute through negotiations in good faith. Any Disputes not so settled amicably shall be finally settled by arbitration referred to Chinese Arbitration Association, Taipei ("CAA") in accordance with its arbitration rules in force when the notice of arbitration is submitted. The arbitral tribunal shall consist of one (1) arbitrator agreed by the Parties. The Party requesting arbitration shall nominate one (1) arbitrator and notify the other Party in writing for confirmation. If the Parties fail to agree on an arbitrator within thirty (30) days of the other Party's receipt of the written request for confirmation issued by the Party requesting arbitration, the sole arbitrator shall be appointed by the CAA. The Seat of arbitration shall be Taipei, Taiwan. The language of arbitration proceedings shall be Chinese.

10. Changes to Terms

The Company reserves the right to modify these Terms at any time. Any modifications will be posted on our website. Your continued use of the Service after the modifications have been posted will be deemed your acceptance of the revised Terms.
